Version: 2026-10-22-v1 · TzTech / Asam Order
1. Parties and start
This agreement is between TzTech, operating Asam Order (the Platform), and the restaurant business identified in the acceptance record (the Restaurant). The named signatory confirms authority to bind that business. Acceptance records the Restaurant's consent; trading starts only after administrator approval and restaurant listing. The pilot currently accepts test orders only.
2. Free joining and fees
Registration and standard restaurant access are free. There is no mandatory monthly subscription. Commission is 5% of the food, drinks and extras subtotal actually sold through app-generated takeaway or delivery orders, after restaurant offers and verified refunds. Delivery fees are excluded from food commission. QR dine-in orders carry 0% commission. TZS amounts are rounded to the nearest shilling. An unpaid or cancelled order does not become earned commission merely because it was placed.
3. Prices and optional promotion
The Restaurant sets its menu prices, availability and offers and keeps listed food prices consistent with its restaurant menu. The Platform may earn a separately displayed delivery margin. Premium advertising, sponsored placement and promotional tools may be offered later, only by separate opt-in with the price and duration disclosed. They are not required to join and are not included as a paid subscription in this agreement.
4. Collections and deductions
Where an approved payment provider supports the arrangement, the Restaurant authorizes deduction of the applicable order commission from confirmed funds collected for that order and payment of the remaining restaurant share to its verified payout account. Delivery money is allocated separately. A planned split is not proof of payment. Until the provider and merchant account are configured and verified, automatic online collection, deduction and payout are unavailable. Additional provider fees or taxes must be disclosed and agreed before use; there is no blanket authority to debit an unrelated account.
5. Cash and settlement
For cash takeaway orders the Restaurant collects the customer payment and owes the recorded 5% commission. For delivery cash, the actual collector, restaurant share, rider fee and Platform share are reconciled in the ledger. Statements close weekly on Sunday in Tanzania time, with settlement due the following Monday unless a separately recorded arrangement applies. Only actual verified payment references clear a balance. A cash record, payout request or estimate is not an automatic money transfer. Both sides may inspect and dispute records before correction; approved adjustments remain auditable.
6. Restaurant responsibilities
The Restaurant is responsible for its licences, food safety, hygiene, allergens, accurate menu information, lawful pricing and applicable taxes. It accepts orders only when able to fulfil them, provides realistic preparation estimates, packages food safely and marks food ready accurately. Its employees and own riders must be authorized and appropriately trained. The Restaurant must promptly report unavailable items or delays and must not substitute or increase a customer's charge without consent.
7. Platform responsibilities
The Platform provides ordering and restaurant management tools, records order prices and applicable commission, restricts access by role and supplies sales, commission, refund and settlement reports. It will investigate reported platform errors and payment discrepancies. It does not guarantee order volume, uninterrupted service or a specific delivery arrival time. Each party is responsible for its own acts and omissions; nothing excludes obligations or consumer rights that applicable law does not permit to be excluded.
8. Cancellations and complaints
Both parties must cooperate promptly on complaints, missing items, food quality and refunds. Refund approval must reflect the actual refund paid and its evidence. Verified food refunds proportionally reverse the saved food commission; delivery refunds are treated separately. Original order values and prior settlements remain visible. Pending refunds may pause settlement until reviewed. No provision removes the customer's statutory cancellation or refund rights.
9. Data and permissions
Use customer data only to fulfil the relevant order and resolve its complaint. Do not sell it, use it for unrelated marketing or share it with unauthorized staff. Protect staff accounts and report suspected misuse promptly. The Restaurant permits use of its approved name, logo, menu and food photos to list and promote its restaurant on Asam Order; it confirms it has the necessary rights. This permission ends for future promotions when the listing ends, subject to lawful record retention.
10. Referrals
Restaurants may share their referral link with other restaurant owners. Applications may record the referring restaurant. A referral does not create access, endorsement, exclusivity, a cash reward or a commission entitlement. New restaurants still require review and approval. Send invitations only to willing recipients; do not send spam or disclose customer data.
11. Changes and ending
Either party may end future participation by written notice through the recorded contact or account support channel. Stop accepting new orders and settle outstanding verified obligations; existing orders, refunds, complaints and lawful records must still be resolved. Access may be paused for safety, fraud or material breach, with reasons and an opportunity for review where practicable. Material fee changes require a new disclosed agreement and explicit acceptance before applying to new orders; existing order snapshots are not rewritten.
12. Law, disputes and electronic record
Applicable Tanzanian law governs this agreement. First report a dispute through the recorded account/support contact and attempt a good-faith resolution; unresolved disputes may be taken to a competent Tanzanian court or other legally available forum. No compulsory arbitration is imposed. The displayed version, full terms, account identity, business name, signatory and server acceptance time form the acceptance record. Both parties may keep a copy. English and Kiswahili describe the same commercial terms; any inconsistency must be clarified before acceptance.
Business name, signatory, authority and consent are collected during registration. Read all terms before accepting.
